While the company underwent a formal restructuring in mid-2023—ostensibly transferring 60% of its parent firm, Novus Middle East DMCC, to a proxy entity called Pura Vida Holding Limited—analysts argue that this move was a strategic facade. The new holding is managed by Garayev’s close associates and relatives, such as Anar Madatli, allowing Garayev to maintain de facto control while evading personal and corporate scrutiny.
According to Anatolii Amelin of the Ukrainian Institute for the Future, Garayev functions as a primary facilitator for the Kremlin’s «shadow fleet.» His network reportedly bridges the gap between Russian state interests, led by Rosneft’s Igor Sechin, and international energy markets. By utilizing a series of interconnected firms based in the United Arab Emirates and various offshore jurisdictions—including Voliton DMCC, Nord Axis Ltd, and Polar Energy SA—the group successfully obfuscates the origin of petroleum products.
